Entering the United States From Singapore: What the First Year Costs

A Singapore software company deciding to open in the United States usually has a number in mind for the first year. First-year US budgets are often underestimated when they are made by translating home-market costs instead of modeling the operating requirements of the new market. The lines below are the ones that move it.

The Entity and Its Advisers

Incorporation can be relatively straightforward, but the cost and timetable depend on entity structure, state requirements, ownership and the regulated activities involved. What costs money is the set of advisers around it: a US lawyer for the entity and the customer contracts, an accountant for federal and state filings, and a registered agent in the states where the company is registered or qualified to do business. Sales tax on software varies by state, and a company selling in several states from the start needs specialist advice on nexus and registration requirements before the first invoice goes out.

The First Hire

For many B2B software companies, the first local hire is a commercial lead; for others, the priority may be customer success, compliance, operations or an in-market partner. Base salary in Boston or New York is only one part of the local employment cost, and the cost of employment on top of it is larger: health insurance for the employee and often the family, payroll taxes, paid leave and a 401(k) match if the company wants to compete for good people. Model fully loaded employment cost and a realistic ramp period using local benchmarks for the intended role and state.

Office and Travel

A hybrid team needs less office than it did, and a flexible workspace may reduce initial fixed costs. Travel is the line that gets cut in the budget and then spent anyway: the founder will be in the United States more than planned, because the first customers want to meet the person whose name is on the company. Include founder and leadership travel in the budget, based on the expected cadence of customer, partner, hiring and operational activity.

Marketing and the Sales Cycle

The sales cycle for an unknown company is longer in a new country than at home. Home-market references may not be sufficient on their own to establish credibility with US buyers, so the first year's marketing is spent on producing US references: pilot pricing for the first accounts, and a presence at the conferences those accounts attend. The budget mistake here is to assume the Singapore conversion rate and the Singapore cycle, and to run out of runway one quarter before the first renewals.

Where the Estimates Go Wrong

  • Employment cost is modeled as salary alone
  • State-level tax and registration are discovered after the first customers are signed
  • The founder's own time in the United States is left off the sheet
  • The sales cycle is assumed to match Singapore's
  • Legal spend is budgeted for incorporation only, with nothing for the first customer negotiations

A first-year budget that survives contact with the market is one that has been stress-tested against a slower revenue ramp, employment costs, professional fees and founder travel. Companies that know that in advance raise or reserve accordingly, and get to the second year. Citalo Group works on these budgets with companies before leadership commits budget to the market.
